This Terms of Service & Privacy Policy (“Policy”) governs access to and use of the website, mobile applications, platform, equipment programs, and related services (collectively, the “Services”) operated by Corner Cup (the “Company”).
1. Overview of Services
The Company operates a platform that provides infrastructure, tools, equipment, payment processing, inventory systems, and supply coordination for independent beverage operators (“Ambassadors”).
2. Eligibility
To access the Services or apply as an Ambassador, you must:
- Be at least 18 years old
- Be legally authorized to work in the United States
- Provide accurate and complete information
- Comply with all federal, state, and local laws
The Company reserves the right to approve, deny, suspend, or remove applicants at its sole discretion.
Guidance may be provided regarding licensing; however, full legal compliance remains solely the Ambassador’s responsibility.
2. Eligibility

3. Independent Contractor Status
Ambassadors acknowledge and agree:
- They operate as independent business operators
- No employment, partnership, joint venture, or agency relationship is created
- They control their own schedule and operating location
- They are solely responsible for taxes, insurance, and regulatory compliance
Submission of Form W-9 or related documentation may be required.
4. Permits & Legal Compliance
Ambassadors are solely responsible for obtaining and maintaining all required permits and certifications, including but not limited to:
- Seller’s permits
- Sidewalk vending permits
- Business licenses
- Health or food handling certifications
- Any city, county, or state approvals
Failure to maintain required permits may result in suspension or termination.
5. Conduct & Legal Responsibility
Ambassadors assume full responsibility for their conduct while operating. The Company is not liable for:
- Citations or regulatory violations
- Arrests or criminal charges
- Public space or boardwalk violations
- Operation while impaired or under the influence
- Seizure or impoundment of equipment
- Fines, penalties, or enforcement actions
The Company has no obligation to provide bail, legal defense, reimbursement, or financial support arising from enforcement actions.
6. Equipment & Security Deposit
If equipment is provided, Ambassadors agree to:
- Use equipment only as instructed
- Maintain equipment in clean, working condition
- Not modify, rebrand, or apply stickers without authorization
- Store equipment securely
Ambassadors may be financially responsible for negligent damage, loss, theft, or unauthorized alterations.
Security Deposit & Inspection
Deposits are held to ensure equipment is returned in proper condition.
Normal wear from ordinary use will not result in deductions. However, deductions may be made for:
- Damage beyond normal wear
- Missing components
- Misuse or neglect
- Unauthorized modifications or branding
Refunds, if applicable, will be processed after inspection within a reasonable timeframe.
7. Payments & Earnings
The Platform may process customer payments and distribute revenue. Ambassadors acknowledge:
- Revenue splits may be updated
- Processing fees may apply
- Payout timing may vary
- Funds may be withheld for fraud review, chargebacks, or compliance concerns
No Earnings Guarantee
The Company provides infrastructure only. No income level is guaranteed. Earnings vary based on location, hours, demand, regulatory conditions, and performance.
8. Indemnification
Ambassadors agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, liabilities, fines, damages, or expenses (including legal fees) arising from:
- Their operations or conduct
- Regulatory violations
- Personal injury or property damage
- Unsafe practices
- Criminal acts or negligence
- Failure to maintain required permits
9. Limitation of Liability
Services are provided “as is.” To the fullest extent permitted by law, the Company shall not be liable for:
- Lost profits
- Business interruption
- Regulatory penalties incurred by Ambassadors
- Enforcement actions by authorities
- Indirect or consequential damages
Total liability shall not exceed amounts paid to the Company within the previous three months.
10. Dispute Resolution & Arbitration
Any dispute arising from the Services shall be resolved exclusively through binding arbitration on an individual basis
Ambassadors waive the right to:
- Participate in class actions
- Bring representative claims
- Seek jury trial
Arbitration shall occur in California under applicable arbitration rules.
11. Governing Law
This Policy is governed by the laws of the State of California.

Data may be collected whenever:
- An Ambassador accesses the website or mobile app
- The application is installed, active, or open
- Transactions are processed
- Inventory is logged or sold
- Equipment is scanned or photographed
- GPS services are enabled
If the application is open, data collection may occur regardless of physical location.

By using the Services, Ambassadors consent to collection of operational data including:

- SKU-level sales data
- Inventory levels and depletion rates
- Restocking data
- Cross-product purchasing patterns
- Equipment condition records
- Photographic records of products and equipment
Photos may be stored for:
- Restocking accuracy
- Inventory verification
- Dispute resolution
- Compliance documentation
14. Sales & Performance Analytics
To improve efficiency and inclusivity, the Company may analyze:
- Time-of-day sales patterns
- Frequency of SKU sales
- Location-based performance
- Product pairing trends
- Inventory turnover rates
Where lawfully permitted or voluntarily provided, aggregated demographic trends (such as general gender-based purchasing patterns) may be analyzed to improve product selection and inclusivity.
All demographic analytics are used in aggregate form and are not sold.
15. Location & GPS Tracking
Location tracking may be used to:
- Monitor selling locations
- Optimize inventory restocking
- Improve dispatch logistics
- Analyze performance by area
- Inventory turnover rates
Location data may be collected while the application is open or in use.
Continued use of the application constitutes consent to such tracking.
