Independent Seller (Ambassador) Agreement
This Independent Seller (Ambassador) Agreement (“Agreement”) governs participation in the mobile beverage distribution and vending system operated by the Platform (“Platform”).
By applying, onboarding, accessing, or participating as an Ambassador, you acknowledge that you have read, understood, and agree to be bound by the terms below

1. Independent Contractor Relationship
Ambassadors operate as independent business operators.
Nothing in this Agreement creates:
- An employment relationship
- A partnership
- A joint venture
- An agency relationship
Ambassadors:
- Control their own schedule and operating hours
- Operate under their own permits and registrations where required
- Are responsible for their own taxes and business obligations
- Are not eligible for employee benefits, workers’ compensation, unemployment insurance, or other employment protections
Ambassadors are independent contractors and not employees of the Platform.

2. Eligibility Requirements
To qualify as an Ambassador, you must:
- Be at least 18 years of age
- Be legally authorized to work in the United States
- Provide accurate and complete application information
- Maintain all required permits, licenses, and registrations
- Comply with all federal, state, and local laws
The Platform reserves the right to approve, deny, suspend, or remove applicants at its sole discretion.
Approved candidates will receive guidance to help secure all required permits, licenses, and registrations needed to begin operating. While compliance remains the Ambassador’s responsibility, we provide step-by-step support to ensure you are prepared for day-one operations.

3. Permits, Licensing & Regulatory Compliance
Ambassadors are solely responsible for obtaining and maintaining all permits and licenses required to operate legally in their chosen location. These may include, but are not limited to:
- State seller’s permits or resale certificates
- Local sidewalk vending permits
- Business tax registrations
- Food or beverage handling certifications
- City-specific approvals
Ambassadors agree to operate strictly under their own licenses where required.
The Platform may provide general guidance for informational purposes only and does not guarantee regulatory compliance in any jurisdiction.

4. Ambassador Responsibilities
Ambassadors agree to:
- Operate only in legally permitted or approved locations
- Follow all vending, safety, and consumer protection laws
- Maintain professional and courteous conduct
- Represent the Platform brand appropriately
- Maintain cleanliness and proper product handling
- Communicate reliably with the Platform team
Failure to meet these standards may result in suspension or removal.

5. Payments & Earnings
The Platform may process customer payments and facilitate revenue distribution through approved payment processors.
Ambassadors acknowledge:
- Revenue split percentages are determined by the Platform and may be updated
- Payment processing fees may apply
- Payout timing may vary
- Funds may be temporarily withheld for fraud review, chargebacks, compliance investigations, or operational adjustments

The Platform provides infrastructure, brand access, payment processing, and logistical support.
Actual earnings depend on factors including:
- Location
- Hours operated
- Customer demand
- Weather
- Market conditions
- Ambassador performance

6. Equipment (If Provided)
If the Platform provides equipment, inventory, or materials, Ambassadors agree to:
- Use equipment only as instructed
- Maintain equipment in clean, working condition
- Not modify equipment without written authorization
- Store equipment securely when not in use
Ambassadors may be responsible for loss, theft, misuse, or negligent damage.
Upon request or termination of participation, all provided equipment must be returned promptly in reasonable condition.
Security Deposit & Equipment Standards
The security deposit ensures equipment is returned in good working condition. Normal wear is expected, but damage, misuse, or unauthorized stickers or alterations may result in deductions. The deposit exists to protect shared assets — not to penalize responsible operators.

7. Taxes & Financial Obligations
Ambassadors are solely responsible for:
- Federal and state income taxes
- Self-employment taxes
- Sales tax collection and remittance (where required)
- Any required business filings
The Platform may issue IRS Form 1099-NEC where required by law.
Ambassadors acknowledge they are not treated as employees for tax purposes.

8. Intellectual Property & Brand Use
All trademarks, logos, trade dress, and proprietary materials associated with the Platform are owned exclusively by the Platform.
Ambassadors may use Platform branding only as authorized and may not:
- Modify brand assets
- Create confusingly similar marks
- Register related trademarks or domains
- Represent themselves as employees or official agents

9. Suspension or Termination
The Platform may suspend or remove an Ambassador at any time for reasons including, but not limited to:
- Permit or licensing issues
- Safety violations
- Brand misuse
- Fraud, misconduct, or misrepresentation
- Operational restructuring
- Failure to comply with this Agreement
Participation is a privilege and is not guaranteed.

10. Limitation of Liability
To the fullest extent permitted by law, the Platform shall not be liable for:
- Lost profits or lost business opportunities
- Business interruption
- Regulatory penalties or fines incurred by Ambassadors
- Actions taken by local authorities
- Indirect, incidental, or consequential damages
Ambassadors assume full responsibility for their independent operations.
